This End User License Agreement ("Agreement") is a legal agreement between you ("User", "you") and MontroneDSP / Andrea Montrone ("Licensor", "we", "us") for the Martello and MartelloX2 audio plugin software, including any installer, VST3 plugin files, presets, documentation, updates, and related materials supplied with them (the "Software").
By installing, copying, activating, or using the Software, you agree to this Agreement. If you do not agree, do not install or use the Software.
1. License Grant
Subject to your compliance with this Agreement and successful purchase or valid trial authorization, Licensor grants you a personal, limited, non-exclusive, non-transferable license to install and use the Software on computers you personally own or control, for music production, sound design, performance, and related audio work.
This is a license, not a sale. The Software is licensed to you, not sold.
2. Included Products
This license covers the following products when supplied together as one bundle:
Unless expressly stated otherwise, all terms of this Agreement apply to both products.
3. Permitted Use
You may use the Software to create, record, perform, publish, distribute, stream, and sell your own musical works, sound recordings, performances, sound design, and audiovisual productions.
You retain all rights in original music, recordings, and other creative works you make using the Software.
You may make a reasonable backup copy of the installer or plugin files for your own personal archival use.
4. Restrictions
You may not:
- sell, rent, lease, sublicense, lend, share, distribute, upload, or otherwise make the Software available to any third party;
- share, publish, resell, or transfer your license key, activation credentials, or license file;
- use one license for multiple users unless expressly authorized in writing by Licensor;
- modify, adapt, translate, or create derivative versions of the Software;
- reverse engineer, decompile, disassemble, bypass, disable, or tamper with the Software, activation system, license checks, trial system, or copy-protection mechanisms, except where such restriction is prohibited by mandatory law;
- use the Software or any part of it to build, train, or distribute a competing plugin, instrument, copy-protection bypass, or substantially similar product;
- remove copyright notices, product names, trademarks, branding, license notices, or third-party notices from the Software;
- use the Software in a way that violates applicable law.
5. Trial, Activation, and License Verification
The Software may require activation or license verification to unlock audio processing or continued use.
A valid license key may be required after purchase. A trial license may be offered for evaluation. Trial duration, offline grace periods, activation limits, and license status may be enforced by the Software and/or by Licensor's licensing provider.
You are responsible for keeping your license key confidential. Licensor is not responsible for unauthorized use caused by sharing, publishing, selling, or otherwise exposing your license key.
If your license is refunded, revoked, charged back, cancelled, fraudulently obtained, or used in violation of this Agreement, Licensor may disable or refuse activation.
6. Internet Connection
An internet connection may be required for first activation, trial start, license validation, deactivation, or reactivation.
The Software may continue working offline for a limited period after successful activation, depending on the current license policy. After that period, the Software may require reconnection to verify license status.
7. Updates
Licensor may provide updates, bug fixes, or maintenance releases at its discretion. Updates may be subject to this Agreement or to newer license terms supplied with the update.
Licensor is not obligated to provide any specific feature, platform version, update schedule, or future compatibility unless expressly promised in writing.
8. Ownership
The Software, including code, interface design, graphics, presets, documentation, product names, branding, and related materials, is owned by Licensor or its licensors and is protected by copyright, trademark, and other intellectual property laws.
You receive only the limited rights expressly granted in this Agreement. All rights not expressly granted are reserved.
9. Third-Party Components
The Software may include or be derived from third-party open-source or licensed components. Those components remain subject to their respective licenses and notices.
Nothing in this Agreement limits rights you may have under applicable third-party open-source licenses. Where required, third-party license notices are provided with the Software or documentation.
10. Refunds, Withdrawal Rights, and Consumer Rights
Refunds, cancellation rights, and withdrawal rights are handled according to the checkout terms, the seller/platform policy, and applicable mandatory law.
If you are a consumer in the European Union or another jurisdiction with mandatory consumer protection laws, nothing in this Agreement limits rights that cannot legally be excluded, including mandatory rights relating to digital content, conformity, refunds, withdrawal, or unfair contract terms.
For digital content supplied immediately after purchase or download, your right of withdrawal may depend on the consent and acknowledgment process used at checkout under applicable law.
11. No Warranty Except Mandatory Rights
To the maximum extent permitted by applicable law, the Software is provided "as is" and "as available", without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, non-infringement, uninterrupted operation, or error-free performance.
This does not limit any warranty, conformity, or consumer rights that cannot legally be excluded.
12. Audio, Compatibility, and Host Responsibility
Audio plugin behavior may depend on your operating system, DAW, plugin host, audio driver, hardware, sample rate, buffer size, plugin scan cache, and project configuration.
Licensor does not guarantee compatibility with every DAW, host, system configuration, or future operating system update.
You are responsible for maintaining backups of your projects and presets before installing, updating, or removing the Software.
13. Limitation of Liability
To the maximum extent permitted by applicable law, Licensor shall not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, including lost profits, lost revenue, loss of business, loss of data, loss of projects, interruption of work, or damage resulting from use or inability to use the Software.
To the maximum extent permitted by applicable law, Licensor's total liability for any claim relating to the Software shall not exceed the amount you paid for the Software during the twelve months before the claim arose.
This limitation does not exclude liability that cannot legally be excluded, including liability for intentional misconduct, gross negligence where applicable, personal injury, or mandatory consumer rights.
14. Termination
This Agreement remains in effect until terminated.
Your rights under this Agreement automatically terminate if you materially breach its terms, including by sharing license keys, redistributing the Software, bypassing activation, or using the Software illegally.
After termination, you must stop using the Software and delete all copies in your possession or control. Termination does not affect rights or obligations that by their nature should survive, including ownership, restrictions, warranty disclaimers, and liability limitations.

Support may be provided at Licensor's discretion.

When requesting support, you may be asked to provide your operating system, DAW, plugin format, plugin version, license status, and a description of the issue.
Do not send private license keys publicly or through public forums.
16. Governing Law
This Agreement is governed by the laws of Italy, without prejudice to mandatory consumer protection laws that may apply in your country of residence.
If you are acting as a consumer, you may have the right to bring claims in the courts of your country of residence where mandatory law provides that right.
If you are acting as a business, professional, or trader, the courts of Bari, Italy shall have exclusive jurisdiction, unless mandatory law provides otherwise.
17. Entire Agreement
This Agreement, together with any checkout terms, invoice terms, third-party license notices, and written purchase conditions supplied with the Software, forms the entire agreement between you and Licensor regarding the Software.
If any part of this Agreement is found invalid or unenforceable, the remaining parts remain in effect to the maximum extent permitted by law.
